New Developments
The deadline for joint-stock and limited liability companies to comply with the new minimum capital requirements has been extended to 31 December 2027 as per the Communiqué on the Extension of the Period for Joint-Stock and Limited Liability Companies to Increase Their Capital to the New Minimum Amounts (the “Communiqué”), published in the Official Gazette dated 17 October 2026 and numbered 33403.
What’s New?
The deadline, originally set as 31 December 2026, for joint-stock companies with a share capital below TRY 250,000, limited liability companies with a share capital below TRY 50,000, and nonpublic joint-stock companies that accept the registered capital system with initial and issued capital below TRY 500,000 to increase their capital to the new minimum amounts has been extended to 31 December 2027.
Please see our legal alert on the changes to the minimum capital requirements here, as well as our legal alert on the applicable compliance period here.
Conclusion
The Communiqué extends the deadline for compliance with the minimum capital requirements by one year.
The Ministry of Trade is authorized to extend this deadline up to two times, for one year each, and the Communiqué constitutes the first exercise of this authority. As there is no certainty that a further extension will be granted, companies falling within the scope of the minimum capital requirements are advised to plan and initiate the necessary capital compliance process without delay, taking 31 December 2027 as the applicable deadline.
