CMB Sets a Global Tone: English Disclosure Becomes Mandatory Market-Wide

Recent Development

The Capital Markets Board of Türkiye (the “CMB“), through an announcement made pursuant to its decision numbered 49/1489 and dated 13 August 2026 (the “Announcement“), published in CMB bulletin numbered 2026/51, expanded the scope of application of the first paragraph of the section titled IV. Language and Method of Notification of Material Event Disclosures of its Disclosure Guidelines. Accordingly, as of 1 October 2026, all listed companies will be required to publish their disclosures in English, simultaneously with the Turkish disclosure.

What’s New?

  • The obligation to make the disclosures in English, which currently applies only to listed companies falling within the first group determined under the CMB’s Communiqué on Corporate Governance No. II-17.1, will be expanded as of 1 October 2026 to cover all listed companies.
  • Disclosures will be published simultaneously in both Turkish and English.
  • English disclosures will be required to include a disclaimer stating that the Turkish disclosure shall prevail.
  • Responsibility for the accuracy of the content of the English disclosure will rest with the relevant listed company.

Conclusion
Pursuant to the Announcement, the CMB has expanded the scope of the simultaneous English disclosure requirement. As of 1 October 2026, this obligation will cover all listed companies.
